Position Summary:

The Vice President and Division General Counsel - Office will be responsible for providing legal support for all aspects of the business operations of Irvine Company Office Properties (the “Division”), which owns and manages office space in Orange County, San Diego, Los Angeles, the Silicon Valley, Chicago and New York.  The successful candidate will expect to personally handle a heavy workload of office lease transactions, as well as work with and supervise a team of seven legal professionals.   The position is located in the Division’s offices at 111 Innovation in Irvine, CA.

Job Duties:

  • Prepare, negotiate, re-draft and finalize office lease agreements and related documents for new tenants leasing space within the Division’s Office portfolio, and work in close coordination with leasing, construction, and other stakeholder representatives within the Division to facilitate timely execution of lease agreements
  • Key functions include (i) preparation and delivery of initial lease draft, using approved deal term sheet and Office Division Legal lease forms and ancillary provisions, (ii) corresponding directly with tenant’s representative or counsel to solicit and respond to tenant comments, (iii) preparation and delivery of all subsequent lease re-drafts, (iv) delivery of execution documents to the tenant, either by written or electronic signature, and (v) implementation of effective processes that communicate documentation status to other key Division team members
  • Develop and maintain internal legal tools and resources for on-site operations teams
  • Develop and update leasing and related forms
  • Support the operations team in the development of new business initiatives/programs
  • Provide ongoing strategic counsel to members of the Division’s senior management team
  • Oversee and manage (through the use of outside counsel as needed) tenant litigation, including breach of lease claims, ADA claims and other litigation under the overall direction of the Company’s Associate General Counsel for Litigation

Minimum Qualifications / Other Expectations:

  • Minimum 12 years of experience in private practice at a leading law firm(s), with partner level experience preferred (including experience supervising multiple attorneys and other legal professionals)
  • Minimum 12 years of experience representing clients in real estate leasing transactions, with significantexperience in office building leasing transactions
  • Some experience in an in-house legal environment is also strongly preferred
  • Broad exposure to real estate transactional matters, particularly with respect to office assets, preferred
  • Outstanding analytical and writing skills
  • Team-centric mentality - work well with others in a fast paced, collaborative environment that is also intellectually challenging.
